Effective Date: December 3, 2024

This Transaction Services Agreement (the “Agreement”) is made between Hivoox (hereinafter referred to as “Hivoox,” “we,” “our,” or “us”), a company operating through the website hivoox.com (the “Platform”), and any individual or entity (the “Client,” “Seller,” or “User”) accessing and using the Platform to buy or sell products and services.

1. Purpose of the Agreement

This Agreement governs the use of the transactional services provided by Hivoox on the Platform, including the sale of products and services, payment methods, and conditions related to transactions between buyers and sellers.

2. Access to the Platform

The User accesses the Platform by creating an account and engaging in the buying or selling of products or services. By accessing the Platform and using the services offered, the User agrees to be bound by this Agreement.

3. Services Offered

Hivoox provides a marketplace where products and services designed for businesses and entrepreneurs are sold by professional Sellers. Buyers can access these products/services and make payments using various available payment methods.

4. Payment Methods

Payments made on the Platform can be processed through the following methods:

PayPal
Credit Card
Bank Transfer
Skrill
Western Union
Mobile Money
Other options offered by Hivoox

Some of these payment methods are managed by third-party providers, and are not under Hivoox’s direct control. By using these services, the User agrees to the terms of use and privacy policies of the third-party providers involved. Hivoox assumes no responsibility for issues related to the use of these third-party payment methods but will assist the User to the best of its ability when necessary.

5. Withdrawal of Funds

The Seller may withdraw funds available in their account once the transaction conditions are met:

If a product is sold, the Seller may withdraw funds either immediately or after shipping the product.
If a service is provided, the funds will be available in the Seller’s account after the service is completed.

Funds can be withdrawn through one of the following methods:

PayPal
Bank Transfer

6. Withdrawal of Funds for Businesses and Entrepreneurs

Businesses: Businesses may withdraw funds immediately after the transaction is confirmed, provided that withdrawal conditions are met.
Independent Entrepreneurs: Entrepreneurs may withdraw funds only after the product is shipped or the service is provided, in accordance with the defined conditions.

7. Transfer of Sale Between Users

Users may transfer the sale of their account to another User. This transfer will be subject to Hivoox’s approval and must be made in accordance with the Platform’s rules.

8. Payment via Seller’s System

Some Sellers may request to receive payments directly through their own payment system, rather than using the payment methods provided by Hivoox. To do so, Sellers must contact Hivoox to request authorization to set up this option. This option is subject to Hivoox’s approval and compliance with the Platform’s rules. Hivoox reserves the right to accept or reject this request based on security, legal compliance, and specific conditions of each request.

If a Seller is authorized to use their own payment system, they must ensure it complies with applicable security and privacy standards. Hivoox assumes no responsibility for issues related to an external payment system used by the Seller, and the use of such systems is the sole responsibility of the Seller.

9. Transaction Security

Hivoox implements security measures to protect personal information and payments on the Platform. However, Hivoox will not be held liable in the event of hacking, theft of credentials, or other incidents beyond its control. The User is responsible for maintaining the confidentiality of their account information.

10. Dispute Resolution

In the event of a dispute between a Buyer and a Seller regarding a transaction, the parties must attempt to resolve the dispute directly. If an amicable resolution fails, Hivoox may intervene to assist in resolving the dispute, but Hivoox will not assume responsibility for transactions between Users.

11. Hivoox’s Responsibility

Hivoox acts solely as an intermediary, facilitating transactions between Buyers and Sellers. Hivoox is not responsible for the products, services, or transactions conducted between the parties. Hivoox does not guarantee the quality, compliance, or legality of the products or services offered.

12. Modification of the Agreement

Hivoox reserves the right to modify this Agreement at any time. In the case of substantial changes, Users will be notified through a notice posted on the Platform. The changes will take effect upon publication, and continued use of the Platform after this date will be considered as acceptance of the changes.

13. Jurisdiction

This Agreement is governed by the laws of the jurisdiction applicable based on your country of residence, as defined in Section 14 of this Agreement. Depending on your location, you agree to the exclusive jurisdiction of the courts of the corresponding jurisdiction for any legal action arising from this Agreement.

14. Contractual Agreement Based on Location

Regardless of the country of residence, all Users shall exclusively engage with Hivoox LLC, a company incorporated and based in the United States. This applies to all transactions, agreements, and services provided by Hivoox. By using our services, you acknowledge and accept that all contractual obligations, user support, and communication are managed directly by Hivoox LLC. Any interactions or legal agreements are governed by the laws of the United States, and the User consents to this framework when entering into any business relationship with Hivoox.

15. Final Provisions

This Agreement constitutes the entire understanding between the User and Hivoox regarding the use of the Platform for transactional services. If any provision of this Agreement is deemed invalid, it will be removed, and the remaining provisions will remain in full effect.
